Terms of Use

These Terms of Use apply to you as an individual who has been given an account on the Solicia service by your organisation. You accept them when you create your account. Please also read our Privacy Policy, which explains how we handle personal information about you.

1. How these terms fit with your organisation's agreement

1.1 Your organisation (the Customer) has agreed with Solicia to the Terms & Conditions (the Customer Agreement). That agreement governs the service itself: what Solicia provides, who owns the data, where it is stored, security, availability and liability.

1.2 These Terms of Use govern your personal use of the service under the Customer's account. If these Terms of Use and the Customer Agreement conflict, the Customer Agreement prevails for the Customer, and these Terms of Use are read down to the extent needed to be consistent with it.

1.3 You are using the service on behalf of the Customer. Your organisation, not Solicia, decides who is invited, what role you hold, and when your access ends.

2. Your account

2.1 Accounts are created by invitation only, from a Solicia administrator or from an administrator in your organisation. You must be authorised by your organisation to use the service.

2.2 You must keep your credentials secret, use a password that meets the policy shown on the account page (at least 12 characters with upper-case, lower-case and numeric characters, and not known to be compromised), and enrol in multi-factor authentication when your organisation requires it or when we make it available to you. Where your organisation signs you in through Microsoft Entra ID, your organisation's identity policies apply.

2.3 Tell security@solicia.ai and your organisation's administrator promptly if you believe your account or a mailbox connected to it has been compromised.

2.4 Your organisation's administrators can see the users in the account, the work submitted, and the audit record of activity, including yours. Solicia staff can see the same information only for the purpose of providing, securing and supporting the service, and every such access is logged.

3. Acceptable use

You must comply with the Acceptable Use Policy, which forms part of these terms. In short: use the service lawfully, submit only material you are entitled to submit, do not attempt to reach another organisation's data or test the service without agreement, and do not put confidential or personal information into a web-research query.

Solicia may suspend an account where reasonably necessary to contain a security threat, comply with law, or address a breach of these terms, and will tell your organisation's administrator where practicable.

4. AI-assisted outputs

4.1 The service uses artificial intelligence to draft, extract, summarise and organise. Outputs may be incomplete, inaccurate, out of date or unsuitable for the matter at hand.

4.2 The service is drafting and workflow assistance. It is not a law practice and does not give legal, financial or other professional advice. A suitably qualified person must review source material, citations, the legal position and the final output before anything is relied on, filed, sent to a client or otherwise acted upon.

4.3 You remain responsible for the professional judgment exercised in your work, subject to any rights that cannot lawfully be excluded.

5. Data and intellectual property

5.1 Content you submit through the service, and the outputs generated for your organisation, are the Customer's data under the Customer Agreement. As between Solicia and the Customer, the Customer owns it. Solicia does not sell it and does not use it to train general-purpose AI models.

5.2 Solicia owns the service, including its software, models, prompts, templates, methods, documentation and interfaces. Non-public aspects of the service are Solicia's confidential information.

5.3 Solicia stores customer data in the region assigned to your organisation. Some processing, including AI inference, may take place outside that region in a limited and transient way. Details are in the Privacy Policy.

6. Communications

We send you emails that are necessary to operate the service: invitations, password and security notices, and replies to work you submit. We do not send marketing email to service users unless you have separately opted in.

7. Liability

7.1 Nothing in these Terms of Use excludes, restricts or modifies a guarantee, right or remedy that cannot lawfully be excluded, including under the Australian Consumer Law.

7.2 Subject to clause 7.1, Solicia's liability arising from your use of the service is governed by the Customer Agreement, and Solicia is not liable to you personally for indirect or consequential loss.

8. Changes to these terms

We may update these Terms of Use. Each version carries a date. Where a change is material we will tell you by email or in the dashboard before it takes effect, and we may ask you to accept the new version before you continue.

9. General

9.1 These Terms of Use are governed by the laws of New South Wales, Australia, and the courts of New South Wales have non-exclusive jurisdiction.

9.2 If part of these terms is unenforceable, the rest continues to apply.
