Elena,

Item 3 is the group structure chart. Amelia Cho in Corporate Governance owned the last eleven updates, so I have drafted the request to her with the final completion structure attached. It is in your Drafts; nothing has gone out.

Items 1 and 2 are done and evidenced in the checklist. Item 4 is the PPSR discharges: 14 of 20 verified so far.

Position

Indemnity cap agreed at £2m in round two. Not to be reopened.

Term

“Change of Control” takes the SPA definition, not the services agreement’s.

History

Their first draft sought unlimited liability. Withdrawn 14 May.

Practice

Amendment demands follow your March form: reason up front, two paragraphs, your sign-off.

Preference

The GC reads on an iPad: one-page summary on top of every deliverable.

Deadline

Completion targeted 29 August. Board sign-off the week before.

Maintained continuously. You will never be asked to catch it up.
The watch

It notices what lands.

It watches the threads, the rooms and the deadlines on its matters. No schedule. No busywork. When the record moves, it moves first.

The overnight recordProject Halcyon
Midnight First light 09:00

Thread quiet. Data room unchanged. Nothing to do, so it does nothing.

Opposing counsel returns the Halcyon markup. The Associate wakes.

Recalls the matter file: the round-two position, the £2m cap, their withdrawn ask.

Fetches the prior markup and our template from the data room itself.

Briefs The Paralegal. Instruction written, three files attached.

The comparison returns. Checked against the position before it moves an inch.

Waiting on your thread. You haven’t been asked for anything.

Wakes on the event: a reply, a new document, a date drawing near. Quiet when the matter is quiet. Nothing invented to look busy. It never emails first. It answers the record, on your thread.
The delegation

It briefs its own paralegal.

It decides what needs doing, fetches the files, and hands The Paralegal a complete brief. Then it checks the work before you see it.

The telephone

Ring the desk. It picks up already across it.

The Associate has a telephone. Call it from the car, between meetings, on the way into the room. It answers the way an associate of fifteen years answers: from the matter, not from a script.

The Associate

“Completion is the twenty-ninth. I’d hold a page for the cap if they press. I’ve asked the Paralegal for a one-pager either way - it will be in your Drafts by ten.”

It speaks from the matter file and the record - the same sources its written work cites.

And when you ask it to, it rings you.

A call from the desk is a standing order like any other. Say the word once - “call me if the markup lands before I do” - and at 06:12 your phone rings, and the voice on the line has already read it.

The standing instruction

Tell it once. It holds.

Some instructions are jobs. Others are duties. Give the Associate a duty - for a thread, a matter, or every matter you will ever open - and the desk runs that way until you say otherwise.

Two more overnight: security for costs, and an affidavit misfiled under the Aurora matter. Refiled to Calder, noted in the index. v2, ZIP rebuilt.

Webb confirms the set is complete. Index closed at five documents - flagged as the full set, with the gaps he never sent listed as silent.

Live means live: every version on your thread, the current set always one reply away.

Every deal · runs until you say
You - to The Associate · 1 Sep

“Every deal that completes: run the post-closing checklist.”

Fairfield completes 30 Sep. The checklist opens itself: your March form, found in the precedent library.

Filings confirmed at the registry; the business-unit manager’s CC found in the closing email. Ticked, with the citation in the margin.

Two items can’t be evidenced: chasers drafted to the two people responsible, sitting in your Drafts.

Kestrel completes 14 Oct. The same, unasked.

One sentence, given once. It now simply happens to every deal.

The campaign

It runs the long game.

One line can start a process that runs for weeks. Fourteen PPSR discharges: demands in your own form, replies read as they land, escalation on the five-day rule. It chases until the register is clean.

“Here are the fourteen registrations against Kestrel. Get them all discharged.”You - 3 June Day 11 · 14 of 14 discharged

Found your March amendment demand in Sent, reused its form and its voice.

AlderCo is dormant and fully repaid: the reason drafted from what the record shows. You never supplied one.

Fourteen demands placed in your Drafts. Every one leaves under your name, when you say.

Replies read as they land. Three verification statements in: filed in the PPSR folder it created in the document system.

Coral Partners: five days silent. Amendment statement form fetched and completed, drafted to the registrar.

Fourteen of fourteen. The folder holds every statement. You sent every email.

Weeks of process. One instruction. Nothing ever sent except by your hand.
The signing pages

“Every time Serena at Fairfield sends signing pages, rebuild the index and the ZIP and send me the set.” Eleven times over five weeks, v6 flagged as the full set.

The job that isn’t its job

The structure charts are Rhea’s. She does them monthly; the record says so. So it drafts her a note of what changed on the deal, rather than redoing her work.

The check that ticks itself

“Confirm the business unit manager was informed.” It sees the closing email CC: inferred, evidenced, ticked, with the citation in the margin.

A day on the desk

Six in the morning, handled.

Attendance note - Project HalcyonThursday, before nine

Opposing counsel returns the markup. The city is dark. The Associate wakes.

The matter file opens: the round-two position, the £2m cap, the ask they withdrew in May.

The prior drafts fetched from the data room. Nothing asked of you.

The Paralegal is briefed: one written instruction, three files attached.

The comparison returns and is read against the file. Two flags stand.

On your thread: a one-page summary on top, the working file beneath.

You sit down. The first pass is behind you. You arrived at nine. It never left.

Autonomy, governed.

Initiative is only valuable when you decide exactly how far it goes.

Nothing leaves without your hand.

To you, it replies on the record. To anyone else it only writes drafts, sitting in your Drafts folder, in your voice, until you press send.

Every step written down.

Each wake, each file read, each brief sent, each call answered: logged, timestamped, attributable. The same audit trail the Paralegal keeps.

It reads only what you scope.

Matter by matter, room by room. Files come from the sources you connected, and nowhere else.

It knows what isn’t its job.

It learns who does what from the record. Where a task is a colleague’s, it drafts them a note of what changed and moves on.

The desk

It arrives with its own staff.

The Associate does not replace the Paralegal - it supervises it. It writes the briefs, attaches the files, and checks the work against the record before you see it.

The Associate seat

Includes the Paralegal. One desk, two hires, one address - the matter carried between the emails, the work executed within them.

The Paralegal.

Time-intensive legal work, handled with precision in minutes. You just send an email.

The second hire

It now has a supervisor - if you want one.

The Associate directs the Paralegal the way a senior directs a junior: it writes the brief, attaches the right files from the matter, and checks the work before it reaches your thread.

Or keep it exactly as it is: the Paralegal is for hire alone, from day one. Same address, same register, same working files. Nothing on this page requires the Associate.

One email. We handle the rest.

Press compose, pick an instruction, hit send — and watch the reply land. This is the whole product.

What it is

A paralegal.
Not a chatbot.

Solicia does the work of a senior paralegal, end to end. The judgment stays with the lawyer whose name goes on it.

  • Reads the fileevery page, nothing sampled
  • Dates the factseach one carrying its source
  • Compares the contractsclause against clause
  • Marks the draftnumbering intact
  • Checks the modelformulas live

And the rest of the desk: memos, presentations, chronologies, correspondence. A whole paralegal, one address.

The question worth asking

When did an AI last hand you
something you could send?

Not an answer to paste, or a draft to rebuild. The finished file — drafted, formatted, cited, checked — ready to go out under your name.

The inbox is not a preference. It is the record.

Audited, archived, access-controlled and thirty years deep. Solicia works there because the alternatives ask the firm to move.

    One memory, three surfaces

    It hears it on Tuesday.
    It still knows on Friday.

Teams, the telephone and your inbox are not three integrations with three histories. They are three ways into one memory of the matter — which is what makes it feel like a person rather than a tool you have to brief again.

It: “Two million, agreed in round two. Rhys confirmed it on Tuesday’s call, and their unlimited ask was withdrawn on 14 May.”

    A marked-up agreement on a desk
Seven faculties. One colleague, on one file.

They are not seven features. They are what one person does with a matter, on an ordinary Tuesday.

    All seven

    One Tuesday on Project Halyard.

The same faculties, in the order they actually fire. Nobody at the firm was asked for anything until 08:15.

    1. Watch

The thread is quiet and the data room is unchanged. Nothing happens.

    2. Watch

Opposing counsel returns the markup. It wakes.

    3. Memory

It recalls the round-two position and the cap agreed at £2m, without being reminded.

    4. Memory

It opens the prior markup and the firm's own template from the data room itself.

    5. Delegation

It briefs the Paralegal: instruction written out, four files attached.

    6. Delegation

The comparison comes back and is checked against the agreed position.

    7. Standing order

The completion checklist opens itself, because the firm said so in May.

    8. Telephone

One question only a lawyer can answer. It rings, asks it, and resumes.

    9. Campaign

Three secured parties chased; two respond and are filed.

    10. Judgment

The escrow release is left in your Drafts, with its reasoning, unsent.

Attachment limits are not a ceiling. Two quiet ways Solicia takes delivery of a big matter.

    The matter bucket

When attachments outgrow the email, the matter's secure bucket takes delivery. Below — what it looks like to use.

    Point it at the folder

Or skip attachments entirely: give it the SharePoint or data-room path. Solicia reads in place, and nothing is copied out of the room.

    The bucket

Too big to attach? Open the bucket.

Every matter has a secure bucket in the client pages. Click it, drop the documents in, and instruct by email as usual — Solicia reads from the bucket, and retention stays yours to set.

    The bucket

    Give it everything you know.

A bucket holds whatever the paralegal should know on a matter — precedents, past advice, the folder nobody ever tidied. Fill it once, and every instruction on that matter is answered with all of it read.

The client pages, on film — a matter’s knowledge, gathered once and read on every instruction.

The library it brings with it.

The matter is read in full. Behind it sits the law itself.

    Legislation

Statute read in the original and cited to the section, as in force at the date that matters.

    Case law

Judgments in full, cited to the paragraph, checked for what has happened to them since.

    Regulatory guidance

The regulator's own publications, dated and versioned.

    Your playbooks

The firm's precedents and positions, weighted above everything generic.

    It knows what outranks what.

Authority has an order. The file cites in that order.

    The matter itself

The agreements, the correspondence, the room. Nothing outranks the record.

    Statute and judgment

The law in the original, cited to the section and the paragraph.

    Regulatory guidance

    Persuasive, dated and versioned.

    Commentary and practice notes

Used to frame, never to prove.

    The open web

    Last, least, and always labelled.

The reading a senior paralegal would spend a day on. Back the same morning, with every source attached to the sentence it supports.

Ask the question at full depth.

Send the matter, not a summary of it. Solicia does the reading.

    Capabilities / Verification

The work you don't have to check.

Solicia does not hallucinate. Every figure is read off the clause, every claim carries its page, and where the record says nothing, the file says Silent. The sources come back attached — so checking is a choice, not a chore.

When can you stop checking its work?

    Now. With Solicia.

Every other tool asks you to trust the answer, then verify it yourself. Solicia removes the step: nothing is invented, so there is nothing to catch.

And when you do check, the sources are already attached. Minutes, not hours.

Ask it something the record never answers.

"What is the termination fee in the Whitcombe Metering agreement?"

What a chatbot offersIt is likely in the range of two to three per cent, in line with the other agreements in the suite…

SilentNo such clause exists. The cell says so, and the agreement is cited in full.

    Nothing invented. Nothing to catch.

    Nothing invented

Every figure is read off the record, never guessed. The clause it came from is footnoted in the file itself.

    Clause 14.2(b), Aurora SPA
    Formulas stay live

Models come back as working spreadsheets. Change an input and the workbook recalculates.

    Silent, by convention

Where the documents say nothing, the cell says so. Nothing is invented to fill a gap.

    Silent

Checked is built in. Checking is optional.

The first week, you review every line against the attached sources, and every line holds. The second week, you spot-check. By the third, you open the file and send it on — because nothing was ever invented, there was never anything to catch.

    Every step, written down.

What was read, what was produced and who received it. The audit trail is part of the product, not an add-on.

It does not advise, decide or sign. The file returns to the lawyer whose name goes on it — for judgment, not for proof-reading. That is the design, not a limitation.

    Why Solicia

Legal AI should do the work.

Not another place to ask questions. A legal team you can brief, a file you can open, and—at the Associate level—a colleague that remembers what happened next.

The legal AI category began with a chat box. We are building legal employees.

    A different architecture

    Ask less of the lawyer.

The difference is not the prose in the answer. It is how much context, file handling and follow-through the lawyer still has to supply.

    Why we build

We are not building a better chatbot.

Legal AI settled into a shape: a chat window, a suggestion, a subscription. We think the profession deserves an actual colleague - so that is what we build, and we intend to keep arriving first.

Real working filesThe first legal AI to return real working files - DOCX that survives a redline, XLSX with live formulas - not prose about them.
A memoryThe first with a memory that outlives the chat: the matter file, kept for the life of the matter.
InitiativeThe first with initiative: it wakes on the record at 06:04, not on a prompt at 09:30.
A direct reportThe first with a direct report - an AI that briefs, supervises and checks another.
The telephoneThe first you can telephone - and the first with a reason to telephone you.

None of this came from a feature race. It came from asking what a firm actually hires. Judge it the way you would judge any hire: on the file.

    The second hire.

The Paralegal does the work. The Associate carries the matter. Why the second one had to be a different kind of product.

At 06:04 on a Tuesday, opposing counsel returns the markup on Halcyon. Nobody at the firm is awake. By 08:15, when the partner opens her laptop, the comparison against the agreed position is already sitting on the thread — drafted, checked, and carrying the one point that has moved since Friday. She was not asked for anything overnight. She was not asked for anything at all.

That is the whole argument for the second hire, and everything below is an explanation of why it took a different kind of product to get there.

IWhat a chat window cannot hold

Every legal AI tool shipped this decade starts the day having forgotten the matter. Open it at nine and it does not know what was agreed in March, what the other side withdrew in May, or which of the four clauses in front of you is the only one anyone is actually arguing about. It waits, politely, for you to explain the file again.

Firms absorb the cost of this without ever putting a number on it. It is the four minutes re-explaining Halcyon to a colleague back from leave. It is the paragraph retyped into a chat window that will not remember it past this session. It is the junior reading the whole bundle a second time because nobody wrote down what changed. None of it is billed. All of it is real.

No firm would hire an associate who forgot the file every night — brilliant at nine, blank by six, briefed from scratch each morning regardless. Yet that is precisely the arrangement the industry offered when it wired a chat box into legal work. The amnesia was never a limit of the models. It was a shortcut, taken early and then normalised, because remembering is much harder to build than answering.

IIWhat a firm is buying when it hires

When a firm hires a good associate it is not buying answers. Associates who only answer what they are asked do not last five years. It is buying three things that never appear in a job advertisement.

Memory. They know where the indemnity cap landed in round two, and they have never had to be told twice. Initiative. They saw the reply land and had started before anyone asked. Responsibility. The work arrives at the partner’s desk checked, not merely produced — and the one thing that needs a judgment call arrives flagged rather than buried.

A chat window was never going to grow into any of that.

Not because the models cannot write a good sentence — they can. Because a conversation has no matter to hold between sessions, no thread to watch while you sleep, and nobody beneath it to check its output before it reaches you. Those are not prompting problems. They are missing parts. So we stopped trying to prompt our way around them and built the parts: a matter file that lives for the life of the file rather than the length of a chat; a watch that runs on the record rather than on a timer; and a direct report the Associate briefs, and checks, before anything reaches your thread.

Maintained continuously. Never asked to catch it up.
Exhibit — the matter file, kept by the Associate.
    IIIThe desk beneath it

The two products exist in this order for a reason. The Paralegal came first, because a firm needs a pair of hands before it needs a colleague. Send it the instruction and the material on an ordinary thread; the finished file — the comparison table, the bundle, the signing pack — comes back inside the hour, in your format, sourced line by line.

The Associate was built to sit above that desk, not to replace it. It holds the matter in the gaps between your emails, wakes when the record moves, and writes the Paralegal’s brief itself, attaching files it fetched itself, before it asks anything of you. Halcyon is the matter we keep returning to internally, because it is the one that settled the shape of the product. The morning it describes now runs much the same way most mornings.

At 23:47 the thread is quiet and the data room is unchanged, so nothing happens. Nothing is invented to look busy. At 06:04 the markup lands and the Associate wakes. At 06:05 it recalls the position: cap agreed at £2m in round two, unlimited liability withdrawn on 14 May — without asking anyone to remind it. At 06:09 it opens the prior markup and the firm’s own template from the data room, not from a prompt. At 06:12 it briefs the Paralegal: an instruction written out, three files attached, nothing left implicit. At 06:41 the comparison comes back and is checked against the agreed position before it is allowed to move. At 08:15 it is on the thread. One overnight event, carried end to end, and the first a partner hears of it is the finished file.

    IVThe telephone

The moment that convinced us we had built the right thing was not a demo. It was picking up the phone.

Not a voice reading a summary back at you — that is a speech feature wearing a phone number. What answers is closer to the associate of fifteen years’ standing who picks up already across the file. Ask, mid-morning, where you landed on the cap, and it answers from the record: £2m, round two, and then adds, unprompted, the one thing that has moved since you last looked. Say once, “ring me if the markup lands before I do”, and it does exactly that and nothing more. It does not ring on a schedule. It does not ring unless you asked it to.

Call — Project Halcyon06:12, The Associate calling
    Associate

The Halcyon markup landed at six. You asked to hear first.

    You

Good. Send Alexandra the comparison once it’s back.

    Exhibit — the call, 06:12.

That is not a feature bolted onto a chat product. It is what memory sounds like when you make it answer out loud. A system that has to go and look something up before it can speak is telling you, in that pause, that it never held the matter in the first place.

VWhy we are writing this down

We are setting out how this works in this much detail because we are not in a feature race, and because the profession has run on the record for far longer than software has existed. Every instruction written down. Every position dated. Every draft attributable to a hand. It is a good system, and it survived a century for a reason.

What we want from legal AI is narrower than market share. We want it to stop meaning a window that is impressive for one turn and empty of the matter by the next, and start meaning work that belongs on the record: checked before it is sent, attributable to the line that supports it, and genuinely silent — nothing invented to fill the space — wherever the record itself says nothing.

The first hire does the work. The second one carries it. If a firm reads this and asks its existing vendors for the same three things — a memory that survives the session, a watch that runs on the record, and work that arrives checked — that is a good outcome, whoever ends up building it.

If anything on this page would fail your firm's security review, we want to hear about it — admin@solicia.ai, a person reads every note.

    Retention & training

Ninety days, seven, or none at all.

The work product returns by reply and lives in your archive. What remains in the workspace sits on a clock your firm winds — presets from 7 to 90 days, a schedule of your own, or purge on delivery, where nothing outlives the reply.

We delete our copy. Yours stays put.

Every finished file was already delivered by reply — so when the workspace purges, the work itself is still sitting in your inbox and your archive, for as long as the firm chooses to keep it. Deletion here never touches the record there.

    Retention, set by your firm.

Change it any time from the admin page — the change is logged, like everything else, and every purge writes itself to the log.

    Training

    Your documents train nothing.

Not our models and not another provider’s. It is a term of your firm’s agreement rather than a policy page.

    • Never used to trainOurs or any other provider's models.
    • Never read to improve the serviceNo human review of client material.

    What Solicia does not do.

    • Train on your documents. Client material is never used to train models.
    • Keep what you've purged. Once material reaches its scheduled purge, no copy remains.
    • Talk to strangers. An address you haven't whitelisted gets no work and no acknowledgement.
    • Learn from one firm to serve another. Workspaces are sealed; nothing crosses between clients.
    • Hold keys it does not need. The two hires are a role in your permission matrix, and the narrowest of the three.

    Ask for the evidence.

The controls register, the data processing agreement and a sample audit trail, calls included, are available for review before anything is signed.
